1. Definitions

For the purposes of these Terms & Conditions:

• "Service" refers to the AI-powered financial assistance platform provided by Quorva, including all features, tools, and content.
• "User," "You," or "Your" refers to the individual or entity accessing or using the Service.
• "We," "Us," or "Our" refers to Quorva, located at 8 Marina Boulevard, #12-04, Marina Bay Financial Centre, Singapore 018981.
• "Content" includes all text, graphics, data, software, and materials provided through the Service.
• "Agreement" means these Terms & Conditions along with our Privacy Policy and Cookie Policy.

2. Acceptance of Terms

By accessing or using Quorva's Service, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement under Singapore law.

Creating an account or subscribing to our Service constitutes your acceptance of these terms.

3. Service Description

Quorva provides AI-powered financial assistance through three primary offerings:

• Personal Finance Companion: Expense tracking, budget insights, and savings guidance for individuals
• Business Intelligence Suite: Financial analysis and cash flow management for small and medium enterprises
• Wealth Planning Workshop: Educational resources and portfolio assessment for long-term wealth building

Service availability is subject to technical limitations, maintenance schedules, and system updates. We strive to maintain consistent access but cannot provide absolute uptime.

Our Service is currently available to users located in Singapore. Geographic restrictions may apply.

4. User Accounts

Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activities conducted through your account

Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in behavior that may harm other users or our Service.

5. User Responsibilities

Acceptable Use

When using our Service, you agree to:

• Use the Service only for lawful purposes

• Refrain from attempting to access unauthorized areas of the platform

• Attempt to reverse engineer or extract source code from our AI systems
• Upload malicious code or attempt to compromise platform security
• Impersonate others or misrepresent your affiliation with any entity

6. Intellectual Property

Our Intellectual Property

All Content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and AI algorithms, are owned by Quorva or our licensors and protected by Singapore and international intellectual property laws.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business financial management purposes.

Restrictions on Use

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless permitted by applicable law.

7. Payment Terms

Pricing and Fees

Our Service is provided on a monthly subscription basis. Current pricing is:

• Personal Finance Companion: SGD 388 per month
• Business Intelligence Suite: SGD 1,288 per month
• Wealth Planning Workshop: SGD 1,888 per month

All prices are quoted in Singapore Dollars and include applicable Goods and Services Tax (GST).

Payment Methods

We accept major credit cards, debit cards, and selected digital payment methods. Payments are processed on a monthly recurring basis on the date you initially subscribed.

Refund Policy

Monthly subscriptions are non-refundable. However, you may cancel your subscription at any time, and service will continue until the end of your current billing period. No partial refunds are provided for early cancellation within a billing cycle.

8. Service Modifications and Cancellation

Your Right to Cancel

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of significant changes that materially affect your use of the Service.

Data Retention After Cancellation

Upon cancellation, your data is retained securely for six months, allowing you to resume service if desired. After this period, data is permanently deleted unless legal retention requirements apply.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we make no warranties or representations about:

• The accuracy, completeness, or timeliness of insights provided by our AI
• The suitability of recommendations for your specific financial situation
• Uninterrupted or error-free operation of the Service
• The achievement of specific financial outcomes

Not Financial Advice

Quorva provides information and analysis tools but does not offer professional financial, investment, or tax advice. Our AI assistant presents observations and perspectives for your consideration, not directives for action. You should consult qualified financial professionals before making significant financial decisions.

10. Limitation of Liability

To the maximum extent permitted by Singapore law, Quorva and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Financial losses arising from decisions made based on Service insights

Our total liability for all claims arising from your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Quorva, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Termination by You

You may terminate this Agreement by canceling your subscription and ceasing use of the Service.

Termination by Us

We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or engage in conduct we determine to be harmful to the Service or other users.

Effects of Termination

Upon termination, your right to use the Service ceases immediately. Provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution shall survive termination.

13. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.

Informal Resolution

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Quorva regarding the Service, superseding any prior agreements.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15. Changes to Terms

We may revise these Terms from time to time. When changes occur, we will:

• Update the "Last Updated" date at the top of this document
• Notify you via email at least 30 days before changes take effect
• Highlight material changes in our notification

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
